Job Description

We are recruiting a tax lawyer specialising in corporate transactions to join our client's Entrepreneurial Tax team in Edinburgh. This is a fast-moving, exciting role with fantastic opportunities for challenging work with phenomenal clients.

Client Details

Our client is a leading CA firm with one of the largest Tax teams in Scotland. The Entrepreneurial Tax team is a multi award-winning team, with a broad range of clients and a focus on delivering the best client service.

The team provides tax services for clients of the firm, investment associations and entrepreneurial law firms.

Description

  • Advising clients (external and internal) regarding tax consequences of proposed transactions
  • Drafting and reviewing Tax Deeds/Covenants and advising on Tax Warranties
  • Negotiating Tax Deeds/Covenants from a buy or sell side with the other party's advisors
  • Drafting and negotiating tax clearances with HMRC
  • Providing advice on share schemes to clients
  • Drafting and reviewing share option agreements
  • Providing advice on SEIS/EIS/VCT matters to clients
  • Providing stamp taxes advisory and completion of clearance applications
  • Ad hoc tax advisory as required
  • Business development

Profile

  • Scottish or English legal qualification - with c.3-10 years PQE either in a law firm or the M&A tax team of a leading accountancy firm
  • Experienced in negotiating tax legal documents
  • Ability to learn and adapt quickly
  • Ability to plan and deliver work to tight deadlines
  • Excellent communication skills
  • Interest in career development/progression
  • A team player and an experienced people manager
  • Ability to explain technical issues
  • Experience of liaising with HMRC on clearances and negotiating results for clients
