Our PwC People in Deals team supports clients by deploying pension and broader HR expertise in an M&A environment. We deliver end-to-end pension and HR services, across the entire deals lifecycle, delivering value through Mergers & Acquisitions, Carve-Outs/Separations, Integrations and Restructuring.

Our team’s experts cover:

  • Pensions - A range of advice including due diligence, supporting M&A buyers and sellers with counterparty and trustee negotiations, and ongoing corporate pension advice post-transaction. 

  • HR - Focus on due diligence in areas such as equity and cash incentive plans, compensation & benefits, labour law compliance, employee transfers, organisational design, retention, employee relations, and HR systems and processes.

As deals experts we have supported our clients in executing hundreds of successful transactions, supporting clients from the early stage due diligence phase through to ensuring that the deal is implemented seamlessly. Our clients include Private Equity and corporates from various industries and the deals we advise on vary from small domestic to global multi-billion pounds transactions.

Responsibilities

As a Senior Manager in the pre-deal People in Deals team you will be critical in leading the delivery of pension and HR advice in a M&A environment. Specific responsibilities include but are not limited to:

  • Management of our internal and external networks, while reporting to Directors and/or Partners

  • Demonstrate subject matter expertise and lead delivery of technical pension work to assist clients in valuing pension plans as part of business valuation, and support clients in negotiations with other parties

  • With our support, develop subject matter expertise and lead delivery of broader HR due diligence work (e.g. to assist clients in valuing equity and incentive plans, benefit plan changes, redundancy costs)

  • Ownership of day to day financial management of work including scoping and budget management

  • Develop impactful and ongoing internal and external client relationships and use your knowledge of the transaction lifecycle to develop sell-on opportunities

  • Be actively involved in business development activities to help identify and research opportunities to expand our propositions

  • Contribute to the development of your own and team’s technical acumen and continue to develop as an expert on global pensions and HR issues

  • Actively coach and develop others, recognising their strengths and encouraging them to take ownership of their personal development

  • Be prepared to lead in the context of complex challenges in a fast paced environment, maintaining positive energy, remaining resilient and staying calm when dealing with uncertainty and complexity

Key experience

We are looking for ambitious, talented and intellectually curious individuals with a desire to apply existing pension expertise in an exciting Deals environment, while developing broader HR expertise. The experience that would enable you to succeed in the Senior Manager role in the People in Deals team includes the following (experience in all areas is not required):

  • Significant experience of working on defined benefit pension schemes (e.g. accounting, funding negotiations, long-term journey planning, employer covenant discussions)

  • Experience of assessing defined benefit pension schemes as part of M&A transactions 

  • Professional services experience including a strong pension (in industry or consulting) background and understanding of the pension agenda

  • Track record of working effectively within teams and leading complex advice / projects as the subject matter expert 

  • Experience being a people leader / performance manager and / or coaching and developing client or internal teams to improve performance
